Terms and Conditions

In addition to terms defined elsewhere in Terms, the following definitions apply throughout this Terms, unless the contrary intention appears:
Service means online booking system of H2H that helps hostels connect to each other and enables reception-desk staff of Hostel buyer to recommend and reserve next accommodation via H2H platform for their guests at Hostel seller as they are departing from the Hostel buyer.
H2H means limited liability company incorporated under the laws of the Republic of Serbia with the full business name H2H GLOBAL PORTAL doo Beograd, Makedonska 21, 11000 Belgrade, Serbia.
H2H platform means the website(s), apps, tools, platforms or other devices of H2H on which the Service is made available.
Hostel means any hostel that completes H2H platform registration process and which has accepted these Terms. Hostel can be at the same time Hostel seller and Hostel buyer.
Hostel seller means a hostel that is offering accommodations via H2H platform.
Hostel buyer means a hostel which has recommended and reserved accommodation at Hostel seller for a guest via H2H platform. For this Hostel buyer is entitled to a Recommendation fee.
Guest means a person for whom Hostel buyer reserved accommodation at Hostel seller via H2H platform.
Accommodation fees means amounts that are due and payable by a guest in exchange for that Guest’s stay in a Hostel seller. The Hostel seller and not H2H or Hostel buyer, is responsible for the Accommodation fees.
H2H fees means the fees that H2H charges an Hostel seller for the use of the Services, which is calculated as 5% of the Accommodation fees and payable under the Terms.
Recommendation fees means the fees that Hostel buyer charges a Hostel seller for the recommendation, which is calculated as a percentage of the Accommodation fees and is determined solely by Hostel seller. Recommendation fees can vary from 5%-15% of Accommodation fee and is payable under the Terms.
Total fees means collectively the H2H fees and Recommendation fees.
Intellectual Property means all current and future legal and/or equitable interests in registered or unregistered trademarks, service marks, patents, registered designs, applications for any of the foregoing, copyrights, unregistered designs, inventions, confidential information, know-how or other intellectual property rights subsisting in or relating to the Hostel and/or the Hostel Information.

Unless explicitly specified otherwise, H2H’s responsibilities are solely limited to:
Facilitating the availability of the H2H Platform and Services
Paying the Recommendation fees to the Hostel in accordance with ‘’Payment of fees’’

Hostel shall for the purposes of registration on the H2H platform as well as for the purposes of reservation via H2H platform, provide information relating to the their respective Hostel (including, but not limited, pictures, photos and descriptions and logo), its amenities and services and the rooms available for reservation, amount of Accommodation fees and methods of payment , availability, cancellation and no-show policies and other policies and restrictions (the “Hostel Information”) and shall comply with formats and standards provided by H2H. H2H reserves the right to edit or exclude any information on becoming aware that it is incorrect or incomplete or in violation of the Terms. It is Hostel’s obligation that the Hostel Information shall at all times be true, accurate and not misleading. The Hostel is at all times responsible for a correct and up-to-date statement of the Hostel Information. If shown incorrect at any time, H2H may terminate provisions of these Terms via written termination notice with immediate effect. Other than Hostel Information Hostel shall provide the information on percentage of Recommendation fees that will be payable to the Hostel buyer. The percentage of Recommendation fees can vary from 5%-15% of Accommodation fees and is solely determined by each Hostel seller. The percentage of Recommendation fees can be changed at any time, but applicable percentage will be the one which was effective at the time of reservation made by Hostel buyer. Unless H2H agrees otherwise, all changes, updates and/or amendments of the Hostel Information (including rates, availability, rooms) shall be made by the Hostel directly and on-line through the H2H platform or such other ways as H2H may reasonably indicate. Updates and changes in respect of pictures, photos and descriptions will be as soon as reasonably possible processed by H2H platform. For each reservation made via H2H platform, the Hostel seller is obliged to pay H2H amount of H2H fees and to pay Hostel buyer amount of Recommendation fees in accordance with ‘’Payment of fees’’

For every recommendation and reservation via H2H platform Hostel buyer is entitled to Recommendation fees. As stated above Recommendation fees is calculated as a percentage of the Accommodation fees and is determined solely by Hostel seller. Recommendation fees is due and payable in accordance with ‘’Payment of fees’’.

When a reservation is made via H2H platform, the Hostel seller shall receive a confirmation which shall include the date of arrival, the number of nights, the room type (including smoking preference if available), the Accommodation fees and the Guest’s name,(collectively “Guest Data”). H2H is not responsible for the correctness and completeness of the information and dates provided by Guest and Hostel buyer and H2H is not responsible for the payment of the Accommodation fees by Guest. For the avoidance of doubt, the Hostel seller shall on a regular basis (but at least on a daily basis) check the reservations made. When a reservation is made via H2H platform, the hostel buyer shall receive a confirmation paper which shall include the date of arrival, the number of nights, the room type (including smoking preference if available), the Accommodation fees and the and the Guest Data. Hostel buyer will be able to print this confirmation paper via H2H platform so it could be handed to the Guest. Confirmation paper will be used for Guest’s convenience and as an evidence of reservation made, but will not be mandatory to show to Hostel seller since reservation will be visible through H2H platform. For avoidance of any doubt it will be considered that reservation is made when a Hostel buyer completes reservation process via H2H platform and receives confirmation message from the H2H platform. No further confirmation from the Hostel seller is needed. By making a reservation via H2H platform a direct contract in terms of accommodation service is created solely between the Hostel seller and the Guest. The Hostel seller is bound to accept a Guest as its contractual party, and to handle the online reservation in compliance with the Hostel Information (including Accommodation fees) contained on the H2H Platform at the time the reservation was made and the confirmation paper that guest received from Hostel buyer.

Guest is due to pay an Accommodation fee to the Hostel seller, as determined in confirmation paper, upon arrival at the Hostel seller. Methods of payment of an Accommodation fee (cash, credit cards) are determined solely by Hostel seller and information about methods of payment is provided with Hostel Information. H2H or Hostel buyer are in no way responsible for this obligation of the Guest. All financial transaction (paying of H2H fees and Recommendation fees) are done only between H2H and Hostel. Hostels will in no way make payments to each other but all due fees will be paid or received through the H2H. All payments of fees, payable under these Terms, will be made on the monthly basis for the previous month. Only payable amount will be Hostel’s balance for respective month. Balance will be calculated as the difference between:
Aggregate amount of Total fees (H2H fees + Recommendation fees) owed by the Hostel for respective month, when acting in a capacity of Hostel seller.
Aggregate amount of Recommendation fees for which Hostel is entitled for respective month, when acting in a capacity of Hostel buyer.
If this balance is positive, Hostel is obliged to pay this amount to H2H, and if this balance is negative H2H is obliged to pay this amount to the Hostel. Hostels will be able to monitor their respective balance at any moment through H2H platform. At the end of the month H2H platform will notify Hostel about its respective balance. If this balance is positive H2H will issue and sent the invoice by e-mail to the Hostel until the 5th of each month for the previous month. After receiving invoice, Hostel is obliged to pay invoiced amount by wire transfer within 10 days from the invoice date in accordance with the payment instructions envisaged in the invoice and also available on H2H platform. If this balance is negative Hostel will issue and sent the invoice by e-mail to the H2H until the 5th of each month for the previous month. After receiving invoice, H2H is obliged to pay invoiced amount by wire transfer within 15 days from the invoice date in accordance with the instructions contained in the invoice and filled by Hostel during the registration on H2H platform. H2H will not be obliged to pay any amount before receiving invoice from Hostel. Having in mind that all payments are going via H2H, H2H reserves the right to reduce the amount of balance payable to Hostel for any amount of Recommendation fees for which that Hostel is entitled, that H2H didn’t receive. As soon as H2H receives this amount, it will be paid by wire transfer to Hostel. In the case of late payment by Hostel, H2H reserves the right to claim statutory interest and to suspend its service under the Terms (e.g. by suspending the Hostel from the H2H Platform), and/or to ask for a bank guarantee or other form of financial security from the Hostel.

The Hostel seller shall provide the accommodation reserved via H2H platform and in the event that the Hostel seller is not able to meet its obligations under these Terms for any reason whatsoever, the Hostel seller shall promptly inform Hostel buyer via H2H platform. If possible Hostel buyer will notify guest about this, and it will use its best endeavors to recommend and reserve alternative Hostel for the guest.
If it is not possible to notify guest about inability of Hostel seller to provide reserved accommodation, and guest shows up at the Hostel seller, it will:
find suitable alternative accommodation of an equal or better standard to the confirmation paper of the Guest.
provide free private transportation to the alternative accommodation for the Guest and other members of the Guest’s party who are listed in the confirmation paper.
If after successful reservation made via H2H platform the guest decide to cancel its reservation and communicates its willingness to do so to the Hostel buyer, then the Hostel buyer will promptly notify Hostel seller about guest’s cancellation via H2H platform. In this case it shall be considered that no reservation has been made and the Hostel seller will not be obliged to pay H2H fee or Recommendation fee. Also no cancellation fee will be charged to either H2H, Hostel buyer or the Guest. If after successful reservation made via H2H platform the guest doesn’t show with the Hostel seller in accordance with the data from conformation, then the Hostel seller will notify H2H and Hostel buyer via H2H platform. In this case it shall be considered that no reservation has been made and the Hostel seller will not be obliged to pay H2H fee or Recommendation fee. Each time when Hostel seller notifies H2H and Hostel buyer that guest in fact didn’t show up, H2H can use every means available to verify this fact. If during this verification H2H determines that Hostel seller falsely notified H2H that Guest didn’t show up, H2H reserves the right to claim contractual penalty from Hostel seller in amount of EUR 2.000,00 and to suspend its Service under the Terms (e.g. by suspending the Hostel seller from the H2H Platform).

Unless stated otherwise, the software required for our Services or available on or used by our site and the intellectual property right of contents and information of and material on our website are owned by H2H and you are not entitled to copy, publish, promote or otherwise use content on this site without our express written permission. Hostel hereby grants to H2H a perpetual (valid for the validity period of the Terms), non-exclusive, royalty-free license (carrying the right to grant sub-licenses) to use, reproduce, communicate and make available in any method and display any Intellectual Property for any purpose in order to exercise its rights and perform its obligations under these Terms. For avoiding any doubt H2H is entitled to display via H2H platform and/or make available to the public in any manner whatsoever any and all Hostel information.

Guests who have stayed at the Hostel seller will be asked by H2H to comment on their stay and to provide a score for certain aspects of their stay. Guests will also be able to rate 6 elements of their stay at the Hostel. H2H will post these comments and rates on the Platforms, but only after these comments and scores are approved by H2H. In this manner H2H reserves the right to refuse, edit or remove reviews that contain abusive, obscene, indecent or offensive content or content that violates right to privacy and personal data regulation, or to refuse, edit or remove whatsoever reviews at its sole discretion.

All notices and other communications required or permitted hereunder to be given to a Party to these Terms shall be in writing and shall be sent by facsimile or by electronic mail, or otherwise delivered personally or by courier, to the contact details envisaged hereunder. Any notice sent in accordance with this Article shall be deemed delivered (i) if sent by courier, upon delivery, and (ii) if sent via facsimile or electronic mail, upon transmission and electronic confirmation of receipt, or – if transmitted and received on a day which is not a business day – at 9am local time on the first business day following transmission and electronic confirmation of receipt.

If after Hostel agreed with these Terms events of force majeure occur for any Party, deadlines for fulfillment of such Party’s obligations shall be extended proportionate to the lasting of the force majeure events, provided that the endangered Party notified other Party on force majeure event immediately following its occurrence. In addition, failure of any endangered Party to fulfill the obligations under the Terms due to force majeure event shall not be deemed to be breach of any of the obligations stipulated hereunder. In particular, and in order to avoid any doubt, it will be deemed that the H2H is endangered party in the event that the H2H platform is down what could not be foreseen or prevented, eliminated or avoided or reasonably controlled in any way by the H2H. Force majeure event means the occurrence of a circumstance that a Party could not foresee or prevent, eliminate or avoid, including but not limited to floods, earthquakes, wars, demonstrations, strikes, acts of war, embargo, prohibitions or restrictions on the competent authorities, disruption of public transportation etc.

These Terms shall be exclusively governed by and construed in accordance with the laws of the Republic of Serbia excluding the collision rules. Any disputes arising out or in connection with these Terms shall exclusively be submitted to and dealt with by the competent court in Belgrade, the Republic of Serbia.

These Terms shall commence on the date of accepting them by the Hostel and will be valid for indefinite period of time. Each Party may cancel provisions of these Terms at any time and for any reason, by written notice to the other Party with due observance of a notice period of 14 days. In the event of cancelation Hostel’s H2H account will be deactivated. In the event Hostel breach any of the material provisions of the Terms (particularly including, but not limited, fails to pay the H2H fee, under the Terms) H2H is entitled to unilaterally without prior notice and at any time, terminate provisions of these Terms, suspend, deactivate or cancel Hostel’s H2H account, to suspend its Service under the Terms (e.g. by suspending the Hostel from the H2H Platform) and claim the damages. This will not in any way affect the obligations that Hostel had under these Terms until that moment.

H2H reserves the right, at its sole discretion, to modify these Terms at any time and without prior notice. If we modify these Terms, we will either post the modification on the H2H platform or otherwise provide you with notice of the modification. If the modified Terms are not acceptable to you, your only recourse is to cease using the Services.
